| From Concept to Market |

| The product concept for Sky IMD Inc. dates back to 2005 when NASA expressed the need for a cost-effective aerial broadband network for First Responders. The objective was to develop a system that would be available at significantly lower costs compared to the current equipment used by the military. A proposal was submitted to NASA to design and build a system using commercially available technology and products. The NASA proposal ultimately resulted in an Air Force contract for initial research and development of a cost effective system to be used on Unmanned Aerial Vehicles (UAV). The Air Force contract work led to the formation of Sky IMD Inc. in 2007 to develop, produce, and market SkyFusionPak™ products and services. The system was developed totally independent from the Air Force, and is now in production. What began as a proposal to NASA has become the first affordable, high performance, easy to use, aerial digital surveillance turnkey solution in the marketplace today. |

| Douglas R. Hanson Chief Executive Officer Mr. Hanson is a Silicon Valley entrepreneur with over forty years’ experience in the high tech industry. He started his career with Westinghouse Corporation, where he was the Technical Representative to the Air Force for the Westinghouse weapons control system on the Phantom F4 fighter plane. He held several management positions over a thirteen-year period at HP. He became a partner in Smith Bellingham, a boutique investment-banking firm located in San Francisco and was a founder and investor in several high technology companies. He is a partner in a real estate investment firm and has successfully managed several development projects in California. Mr. Hanson received a BSEE degree from the University of Maine, earned an MBA with High Honors from Boston University, has held a Series 7 Securities license and is licensed by the California Department of Real Estate. |

| Steven G. Thompson President Mr. Thompson has over thirty-five years’ experience in sales and marketing of technology and development projects. He began his career with IBM in the Office Products Division, later moving into their Computer Division, and was a consistent member of the IBM 200% sales club. For over thirty years, he has assisted investors in successfully diversifying their portfolios into alternative investments, such as technology. He brings his many years of sales and leadership skills to the Company, including his substantial real estate background. Mr. Thompson has a BA Degree in Psychology and Business from California State University at Fresno and did graduate studies in France and Switzerland. He is a licensed California Real Estate Broker (CA Lic. # 00519403), and has memberships in Marin, Sonoma, and Mendocino county community service organizations. |

| Yiannis W. Gutow Executive Vice President As Executive Vice President, Mr. Gutow brings over thirty years of technology expertise in telecommunications, hardware and software. He has represented Teltronics Inc., based in New York, L.M. Ericsson Telecom, British Telecom, Mitel of Canada/USA, Nippon, NEC, Toshiba of Japan, Siemens of Germany and was Executive Vice President of Marketing and Sales for Cortel Business Systems, Inc., a major nation-wide sales and service distributor of switching systems. He started a cellular distributorship with Panasonic in the tri-state (NY, PA, and NJ) area, and was Executive Vice President of General Telecom, based in San Jose, California. He was co-founder of Satellite Business Systems and had international sales success with the PTT of telecommunications and satellite networks of the Republic of China. Mr. Gutow is a graduate of New House School of Communications at Syracuse University in New York, and has done graduate studies at NYU. |

| Christopher P. Epsha Chief Operating Officer/General Counsel Since 1997, Mr. Epsha has represented individuals and companies, concentrating his practice in the structuring of domestic and international transactions and in the formation and operation of business entities. Most recently, he has represented Real Estate investors in a substantial number of significant real estate acquisitions. In conjunction with outside counsel, he is responsible for entity formation, banking, legal compliance and private placement documentation as well as managing the ongoing administration and operational issues associated with the company. Mr. Epsha is a graduate of Michigan State University and graduated cum laude from Michigan State University Law School, is a member of the California and Michigan bar associations, and is a licensed California Real Estate Broker. |

| Barry D. LeBendig Vice President Sales and Marketing Mr. LeBendig’s career spans over 38 years of sales and marketing. He was the vice-president and international director of sales and marketing for CyberMind Virtual Reality, where he became familiar with virtual reality platforms, flight simulators, G-Force orbitrons and motion simulators, working throughout the Silicon Valley, Europe and Asia. He brought together over 70 major manufacturers called CYBERWORLD at the 1996 Summer Olympics in Atlanta, Georgia, demonstrating a variety of motion and flight simulators, virtual hang gliding and Yag lasers. He has recently been instrumental in funding technology companies and real estate development projects, and doubled annual sales five years in a row to $160 million. Over the past 20 years, he has been active in fund-raising and community service work. Mr. LeBendig attended King’s College in Wilkes-Barre, Pennsylvania, in the pre-med curriculum. He served in the medical corps of the US Army, and is licensed by the California Department of Real Estate. |

| Paul Norman Controller Mr. Norman, a native of England, has over 25 years as a finance professional. Following his move to the United States in 1984, he held several high level positions for Silicon Valley technology companies such as Varian and Weitek, and has served in Controller positions in the real estate and advertising industries. In 2004, Paul started The Norman Group which provides accounting services to small to medium sized businesses throughout the San Francisco Bay Area. Mr. Norman brings his extensive experience to all areas of finance within Sky IMD. He received a BA in Accounting and Finance from Middlesex University in London, England. |

| Henri Wolf Chief Technology Officer Mr. Wolf, a native of Holland, has an extensive and wide ranging technical background. He won the prestigious Pure Scientific Research award from the Dutch Government while still in high school. Following his move to the United States in the mid 1980’s, he helped develop the federal and California state vehicle emission control systems standards, and designed and built emission control systems for Jaguar and Mercedes. Mr. Wolf’s diverse background includes flying air tanker planes for firefighting wild fires and founded a consulting company for diagnostics and repair in the automotive, airplane and marine industry. He is responsible for researching and selecting the latest technology components for the Sky FusionPakTM product line, including testing and system integration. Mr. Wolf has a degree in Physics and Electronics at Delft Technical University, the Netherlands. He is a licensed airplane pilot, is fluent in English, Dutch, German and French, and has composed, recorded and published music for the piano. |

| Mark Casillas, Casillas Law Group Corporate Counsel Mark Casillas serves as outside corporate counsel. He specializes in corporate and business matters for companies ranging in size from startup companies to large publicly traded corporations in the United States and overseas. He formed his own law group to provide senior level expertise to execute transactions effectively with the same blue chip quality found at large law firms. Prior to founding Casillas Law Group, Mr. Casillas practiced law at Wilson Sonsini Goodrich & Rosati in Silicon Valley. Prior to Wilson Sonsini, he practiced law at LeBoeuf Lamb Greene & MacRae in San Francisco. Mr. Casillas is a graduate of from Harvard Law School and is a member of the Bar in California and New York. |
